Terms of Service
Implix sp. z o.o. of 26 Balladyny Street, 81-524 Gdynia, Poland hereinafter referred to as
'Implix', the sole holder of service through the DynamiteCovers.com
website, provides this service to the Customers according to the following
Terms of Service:
Implix is providing the Customer with an Internet service by which it will
undertake to perform virtual covers for the Customer’s product on the basis
of the information given by and materials delivered by the Customer upon the
Customer’s order ('the service').
Within the service Implix designs graphic file showing virtual covers that
look like books, software program, booklets, newsletters, membership cards,
CD cases, video boxes, or tapes ('Dynamite Cover') and transfer
Dynamite Cover to the Customer within the agreed period of time.
Upon ordering the service, the Customer agrees to:
- pay a fee for the service,
- fill out the registration form in current, complete, and accurate data about the Customer as it is prompted to be done
- fill out the specification form.
The Customer may order Dynamite Cover in the following plans:
- BASIC - the Customer will receive one cover in two sizes,
- DELUXE - the Customer will receive two covers in two sizes each,
- PREMIUM - the Customer will receive three covers in two sizes each.
The Customer agrees to pay a fee as stated on the order page. The fee is
based on a plan which the Customer chooses upon registration.
In the specification form the Customer advises the following information:
- product name / title
- website URL
- text to appear on the cover
- additional information about the product
- chooses shape of the Dynamite Cover
Additionally, the Customer may upload images to appear on the cover.
Implix creates the Dynamite Cover on the basis of the specification provided
by the Customer upon filling out the order form.
The Customer is solely responsible for the copyrights and content of the
information which as advised are the basis on which Implix designs
Dynamite Covers. Implix takes no responsibility for the materials delivered
by the Customer to create Dynamite Covers. In particular, but does not
limit to, Implix takes no responsibility for any materials used to create
a Dynamite Cover if they are free from any third party rights.
Within five working days from the date of order Implix delivers the
Covers by email as an attachment and puts them on the web for download.
On acceptance of the Dynamite Covers, Implix transfers all the copyright
for the designed Dynamite Cover to the Customer. If the customer doesn't
accept the Dynamite Cover, they might either request that Implix improves
or creates a new Dynamite Cover or exercise the right to withdrawal.
If Implix finds the Customer to be using the service for any illegal
or abusive practices, or if Implix has any reason to believe that
the Customer uses or attempts to use the service in such a way that
the rights of Implix or any third party might be infringed, then Implix
may take action immediately, including terminating the service and/or
reporting the incident to the Customer and to the proper authorities.
The Customer is particularly obliged not to promote any abusive or illegal
content nor Implix competitors.
The Customer is obliged to provide accurate, and true Customer contact
details, and keep such contact details up to date. If the Customer
provides any information that is untrue, inaccurate, not current
or incomplete, or Implix has reasonable grounds to suspect that such
information is untrue, inaccurate, not current or incomplete, Implix has
the right to suspend or terminate the Customer’s account and refuse any
and all current or future use of the service.
Upon registration to the service, the Customer agrees to receive commercial
information about products and services of Implix.
The Customer expressly agrees that the effectiveness of service is at his
or her solid risk.
Implix sends to the Customer email containing receipt to confirm the payment.
Implix issues an invoice at the Customer's request.
Implix reserves on a sole discretion the right to change the fees for
the service.
Implix assures that the service will work properly on
Windows 98/NT/2000/Me/XP platform with Internet Explorer 6.0 or higher.
Implix provides customer email, fax and phone support.
The Customer may address all questions, doubts, and report errors via email
to Customer Support at support@dynamitecovers.com,
fill in the website form at DynamiteCovers.com or call US number:
+1 866 604 2687. The Customer should provide at least the their
name and describe the issue clearly. Implix does not investigate or take
any action based on "anonymous" support requests.
Implix assures that reaction shall occur within two working days after
receiving a request from the Customer.
The Customer accepts unconditionally that the service is distributed on
"as is" basis without warranties of any kind, either expressed or implied.
Implix will never use the information about the Customer nor the Customer's
customers, that are collected within the service, to send any unsolicited
messages or information nor share it with or sell it to anyone else for
such use according to the Implix Privacy Policy.
The Customer is not allowed to associate any content provided through the
service with pornography, adult rated material, child pornography, bigotry,
racism, hatred, profanity, mail fraud, or any material which may be insulting
to another person or company. The Customer is not allowed to use the Service
to transmit any material that, intentionally or unintentionally, violates
any applicable local, state, national or international law, or any rules
or regulations promulgated thereunder.
Without limiting the general prohibitions against all illegal practices,
the following are expressly prohibited:
- Use the service to harm, or attempt to harm, minors in any way,
- Use the service to transmit any material that threatens or encourages bodily harm or destruction of property,
- Use the service to transmit or promote any material that contains pornography, adult rated material, or child pornography,
- Use the service to make fraudulent offers to sell or buy products, items, or services or to advance any type of financial scam such as "pyramid schemes".
The Customer has the right to withdraw from the ordering without penalty
and without the obligation to give any reason within 14 days from the day
of order but no later than on the moment of starting the service. In order
to exercise this right to withdrawal the Customer should send an email
message informing about the cancellation to the Implix Billing Department
at billing@implix.com. Implix is obliged
to reimburse the total sum paid by the Customer free of charge. Such
reimbursement will be carried out by Implix as soon as possible.
All content included on DynamiteCovers.com website, such as text, graphics,
logos, button icons, images, audio clips and software, is the property
of Implix or its content suppliers and protected by Polish, U.S. and
international copyright laws. No part of this website may be reproduced
or transmitted in any form or by any means without written permission from
the authors.
Implix, and Dynamite Covers are trademarks of Implix and Simon Grabowski
in the Republic of Poland, the United States and other countries.
Trademarks of Implix and Simon Grabowski may not be used in conjunction
with other companies' products or services, in any manner that may cause
confusion among customers and potential customers, or in any manner that
discredits Implix, its products and services.
Implix reserves on a sole discretion the right to terminate the service
in the event of not receiving a payment.
Implix reserves on a sole discretion the right to immediately terminate
the service in the event of finding the Customer to be using Implix
services for spam activities and other unlawful practices.
Implix reserves on a sole discretion the right to terminate the service
in the event of receiving independent verification that the Customer
provided materials grossly inaccurate, unreliable or breach of the
copyrights of any third party, or provided false registrant contact
details, or failed to keep such contact details up to date.
IMPLIX DOES NOT GIVE WARRANTIES, WHETHER EXPRESSED OR IMPLIED, FOR THE
WEBSITE AND THE SERVICE IT IS PROVIDING. IMPLIX DISCLAIMS ANY WARRANTY
OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR PURPOSES
DIRECTED BY THE CUSTOMER. IMPLIX DOES NOT GIVE WARRANTIES THAT THE SERVICE
OR THE WEBSITE WILL BE ERROR FREE OR UNINTERRUPTED. THE SERVICE AND
THE WEBSITE ARE DISTRIBUTED ON "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND,
EITHER EXPRESSED OR IMPLIED.
Implix is not responsible for any delay or failure in performance due
to Force Majeure, or other occurrences that are beyond Implix reasonable
control. Implix is not responsible for short, temporary and accidental
suspension the service as a result of circumstances which Implix could
not foresee nor suspect.
Customer recognizes that Implix does not own or control other networks,
information and systems outside of its own network, nor is Implix responsible
for performance or non-performance within such networks. Implix exercises
no control over and specifically denies any responsibility for the content,
information, accuracy or quality of the information and/or data passing
through its Network or the service provided.
The use of the service is at the Customer's solid risk. Implix is in no
way responsible for the conduct of its Customers, the content of description
of a Customer's website, product or service broadcasted through the Internet.
Implix is not responsible for any indirect, incidental, special, punitive,
or consequential damage that results from the Customer's use of the service.
Implix is in no way responsible, without limitation, for any damage or loss
resulting from service interruptions or delays.
Implix shall have no liability for any damages suffered by the Customer
or any third party as a result of the use or the misuse of the service.
The Customer agrees to defend, indemnify and hold harmless Implix together
with its respective employees, agents, directors, and shareholders, from
and against all the liabilities, claims, damages and expenses (including
reasonable attorney's fees and costs) arising out of your use of this
service; the failure to use the Service; the breach or alleged breach
of this Terms of Service or the breach or alleged breach of the copyright,
trademark, proprietary or other rights of third parties.
Implix reserves the right to modify, add or delete any documents, information,
graphics or other content appearing on or in connection with the
DynamiteCovers.com website, including these Terms of Service, at any
time without notice.
This service shall be interpreted and construed according to, and governed by,
the laws of the Republic of Poland, excluding any such laws that might direct
the application of the laws of another jurisdiction. The law of the Republic
of Poland and Polish Court shall be jurisdiction.
